Terms of Service

These Terms of Service ("Terms") govern your access to and use of the CertPrep Studio platform and related services (the "Service") operated by CertPrep Studio ("CertPrep Studio", "we", "us"). By creating an account, subscribing, or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.

1. Service

CertPrep Studio provides an examination-preparation platform for professional certifications in environmental, health, safety, healthcare facility, and related credentialing fields. The Service includes practice questions, mock examinations, learning content, progress dashboards, and administrative tools for teams. We do not guarantee that use of the Service will result in a passing score on any certification exam, and we are not affiliated with, endorsed by, or authorized as an official training provider by any certifying body unless stated explicitly on a per-certification basis.

2. Accounts and eligibility

You must be at least 18 years old to use the Service. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You agree to provide accurate and complete information and to promptly update it if it changes.

3. Access, seats, and renewal

CertPrep Studio is sold as a one-time purchase that grants 12 months of access to a specific certification preparation program — not a subscription. We do not auto-renew and do not auto-charge.

Team purchases are priced per seat at the rate presented at checkout, with a minimum of 2 seats per transaction. Each seat entitles one individual learner to access the purchased certification for the 12-month access period. Team admins may reassign a seat to another team member at any time during the access period. Adding seats during an active period creates additional 12-month windows for those new seats; we do not pro-rate added seats to align with the original expiry.

Individual purchases grant a single learner access to one certification for the 12-month access period. Solo learners are required to use this individual product rather than the team product.

At the end of the access period, the program becomes read-only for affected learners. To extend access for another 12 months, make a new purchase from the admin billing page (teams) or your individual dashboard. Fees are non-refundable except as required by law or as expressly stated in our Refund Policy (14-day money-back guarantee and 12-month pass guarantee).

4. Acceptable use

You agree not to:

• Copy, reproduce, distribute, or publish any questions, content, or materials from the Service outside of your authorized use;
• Share login credentials with anyone other than the named seat holder;
• Use automated tools, bots, or scrapers to harvest questions or content;
• Reverse engineer, decompile, or attempt to derive the source code of any part of the Service;
• Use the Service to build or train a competing product or machine-learning model;
• Upload, share, or transmit content that violates applicable law or another person's rights.

We may suspend or terminate your account for material breaches of this section.

5. Content and intellectual property

All practice questions, rationales, learning content, blueprints, branding, code, and other materials made available through the Service are the property of CertPrep Studio or its licensors and are protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your personal or organizational exam preparation.

Certification titles and exam body names referenced in the Service are the trademarks of their respective owners. Use of those names is for identification only and does not imply any affiliation.

6. Administrative controls and compliance records

Organization administrators can view member progress, mock exam results, study activity, and export compliance training records. By joining an organization, members agree that this activity and performance data is visible to their organization's administrators and may be included in compliance exports. We act as a data processor for such data as described in our Privacy Policy.

7. Third-party services

The Service relies on third-party providers including Stripe (payment processing), Supabase (authentication and data storage), Resend (email delivery), and Vercel (hosting). By using the Service you acknowledge that parts of your data may be processed by these providers under their own terms.

8. Disclaimer of warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, or that the Service will be error-free, secure, or uninterrupted. You assume full responsibility for decisions made based on your use of the Service, including exam preparation outcomes.

9. Limitation of liability

To the maximum extent permitted by law, CertPrep Studio, its officers, and its affiliates are not liable for any indirect, incidental, consequential, special, or punitive damages, including lost profits, lost data, or exam outcomes, arising from or related to your use of the Service. Our total cumulative liability for any claim arising under these Terms will not exceed the amounts paid by you to CertPrep Studio in the twelve months preceding the claim.

10. Termination

Access ends automatically at the close of your 12-month access period unless you make a new purchase to extend it. We may suspend or terminate your access at any time for material breach of these Terms. Upon termination or expiry, your licence to use the Service ends, though historical compliance exports you have downloaded remain your property.

11. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice in the Service before the changes take effect. Continued use of the Service after the effective date of the change constitutes acceptance of the updated Terms.

12. Governing law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles. Any dispute arising under these Terms will be resolved in the state or federal courts located in Delaware, and you consent to the exclusive jurisdiction of those courts.
